1. About SAFE

SAFE is a web-based suite of vocabulary practice and quiz applications developed and operated by ORRO GROUP a.s., a joint-stock company incorporated and existing under the laws of the Czech Republic, with its registered office at Budilova 161/15, 301 00 Plzeň, Czech Republic and identification number 04365569 (“ORRO GROUP”, “we”, “us”, “our”).

SAFE consists of the following components: SAFE-GEN-EN (a vocabulary set generator for teachers), SAFE-EN (the student-facing practice application), SAFE-QUIZ-GEN (a quiz generator for teachers), and SAFE-QUIZ (the student-facing quiz application), together with any additional applications or modules that ORRO GROUP may make available as part of the SAFE service from time to time (collectively, “SAFE”). Together they allow language teachers to create vocabulary sets and quizzes and share them with their students for self-study and practice, solely in connection with their own teaching activities and in accordance with these Terms. All components are included in a single SAFE subscription; no separate fees apply to individual components.

2. Acceptance of Terms

By registering an account, clicking an acceptance button, or otherwise accessing or using SAFE, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, you must not access or use SAFE.

We may update these Terms from time to time, for example to reflect changes in law, our services, or our business operations. We will notify you by email at least 14 days before any changes take effect. If you do not agree to the updated Terms, you have the right to terminate your subscription before the changes take effect, upon which you will be entitled to a pro-rata refund of any prepaid fees for the remaining period. Your continued access to or use of SAFE after the effective date constitutes your acceptance of the changes.

3. Who Can Use SAFE

SAFE is intended for professional language teachers and tutors acting in the course of their trade, business, craft, or profession. You expressly acknowledge and agree that you are entering into these Terms strictly as a business entity or professional (B2B) and not as a consumer, and that consumer protection laws do not apply to this contractual relationship. By registering, you represent and warrant that:

• you are at least 18 years old;
• you are using SAFE as part of your educational or professional activities;
• the information you provide during registration is accurate and complete.

Students who receive vocabulary sets from their teacher use SAFE-EN without creating an account and are not direct parties to these Terms. Your relationship with your students, including any obligations under education or consumer protection laws, remains solely between you and your students.

4. Subscription and Payment

4.1 Plans

SAFE is available on the following subscription plans:

• Monthly Plan: 12.90 EUR per month, billed monthly.
• Annual Plan: 119.00 EUR per year (equivalent to approximately 9.92 EUR per month), billed annually.

All prices are in euros (EUR) and are exclusive of any applicable taxes (such as VAT or similar indirect taxes). Where required by law, applicable taxes will be calculated and added at checkout, and will be clearly itemised before you confirm payment.

4.2 Free Trial

New users may access SAFE free of charge for 14 days from the date of registration (“Free Trial”). No payment method is required to start a Free Trial. At the end of the Free Trial, your access will automatically be suspended unless and until you activate a paid subscription.

4.3 Billing and Automatic Renewal

Monthly Plan: Your subscription renews automatically each month on the billing anniversary date until cancelled. No advance notice is sent before monthly renewals, and the applicable monthly fee will be charged to your selected payment method on each renewal date.

Annual Plan: Your subscription renews automatically each year on the billing anniversary date until cancelled. We will send a renewal reminder by email at least 14 days before the renewal date. If you do not cancel before the renewal date, your subscription will renew for an additional 12-month term and the annual fee will be charged to your selected payment method.

You authorise ORRO GROUP and our payment processor to charge your chosen payment method for the applicable subscription fees, any applicable taxes, and any other charges you incur in connection with SAFE, on the initial payment date and on each renewal date until you cancel.

You can stop automatic renewal at any time by cancelling your subscription in your account settings.

4.4 Cancellation

You may cancel your subscription at any time through your account settings. Cancellation will take effect at the end of the then-current billing period (monthly or annual). You will retain full access to SAFE until that date. No partial refunds or credits are issued for the unused portion of a billing period, except as expressly set out in Section 2, Section 4.5, or required by mandatory law.

4.5 Refund Policy

If you are dissatisfied with SAFE for any reason, you may request a full refund of your first subscription fee within 30 days of your first paid charge by contacting us at orro-group@orro-group.com. This 30-day money-back guarantee applies once per account, covers only the first subscription term, and does not apply to any renewal charges or subsequent upgrades.

4.6 Payment Processing

Payments are processed by Stripe, Inc. or its affiliates (“Stripe”). ORRO GROUP does not receive or store your full card details; these are processed and stored by Stripe in accordance with its security standards. By subscribing, you also agree to Stripe’s then-current terms of service and privacy policy.

5. Licence

Subject to these Terms and timely payment of the applicable subscription fees, ORRO GROUP grants you a limited, non-exclusive, non-sublicensable, non-transferable, revocable licence to access and use SAFE solely for your own professional educational activities.

This licence does not permit you to, and you agree not to:

• share, resell, sublicense, or otherwise provide access to SAFE to any third party (other than sharing vocabulary set and quiz files with your students in the normal course of teaching);
• copy, modify, adapt, translate, reverse-engineer, decompile, or disassemble any part of SAFE;
• use SAFE to develop a competing product or service;
• remove or alter any copyright, trademark, or other proprietary notices in SAFE.

6. Intellectual Property

SAFE, including its design, source code, and all related materials, is the exclusive property of ORRO GROUP a.s. All rights not expressly granted in these Terms are reserved.

Vocabulary sets, quizzes, and content you create using SAFE-GEN-EN or SAFE-QUIZ-GEN remain your property. By using SAFE, you grant ORRO GROUP a worldwide, non-exclusive, royalty-free licence to host, store, reproduce, and transmit that content solely as necessary to provide, maintain, and secure SAFE.

You represent and warrant that you own or have obtained all necessary intellectual property rights and permissions to upload, create, and share your content via SAFE. You agree to indemnify, defend, and hold harmless ORRO GROUP against any third-party claims, liabilities, or expenses arising from any copyright or intellectual property infringement related to your content.

7. Data and Privacy

We collect and process personal data (such as your name, email address, billing details, and subscription information) to create and operate your account, provide and improve SAFE, and comply with our legal obligations. We do not sell your personal data to third parties.

Students using SAFE-EN or SAFE-QUIZ do not create accounts and, except for transient technical data necessary to deliver the service (such as IP address and device identifiers), no personal data about students is stored by ORRO GROUP beyond the duration of their session.

Vocabulary sets and quizzes created in SAFE-GEN-EN or SAFE-QUIZ-GEN are stored locally in the teacher’s browser and are not transmitted to ORRO GROUP’s servers unless you explicitly use a backup, synchronisation, or sharing feature that clearly indicates that data will be uploaded.

Our processing of data relating to users in the European Economic Area is governed by Regulation (EU) 2016/679 (GDPR). To the extent that ORRO GROUP processes any personal data of students on your behalf (including transient technical data or content uploaded via backup, synchronisation, or sharing features), you acknowledge and agree that you act as the Data Controller and ORRO GROUP acts as the Data Processor. Such processing shall be exclusively governed by our Data Processing Agreement (“DPA”), which is hereby fully incorporated into these Terms by reference and available at https://safe-legal-six.vercel.app/dpa. By accepting these Terms, you expressly agree to be bound by the DPA.

8. Service Availability

We aim to keep SAFE available at all times but do not guarantee uninterrupted or error-free access. We may perform maintenance, upgrades, or changes that temporarily limit availability; where reasonably possible we will provide advance notice by posting a notice within SAFE or by email.

To the fullest extent permitted by applicable law, ORRO GROUP is not liable for any loss of profits, revenue, data, or business opportunities, or for any indirect or consequential loss, arising from or in connection with the unavailability, suspension, or modification of SAFE, whether planned or unplanned.

9. Disclaimer and Limitation of Liability

SAFE is provided on an “as is” and “as available” basis and, to the fullest extent permitted by law, ORRO GROUP disclaims all warranties, whether express, implied, statutory, or otherwise, including any implied warranties of merchantability, fitness for a particular purpose, and non-infringement, except to the extent that such warranties cannot be excluded under applicable mandatory law.

To the fullest extent permitted by applicable law, ORRO GROUP’s aggregate liability to you for all claims arising out of or related to SAFE or these Terms, whether in contract, tort (including negligence), or otherwise, shall not exceed the total amount of subscription fees you paid to ORRO GROUP in the 12 months immediately preceding the event giving rise to the claim.

Nothing in these Terms excludes or limits any liability that cannot be excluded or limited under applicable law, including liability for death or personal injury caused by negligence, fraud, or wilful misconduct.

10. Termination

You may close your account at any time through your account settings or by contacting us.

We may suspend or terminate your account immediately if you materially breach these Terms, if you fail to pay any amounts due, or if we reasonably believe that your use of SAFE poses a legal, security, or operational risk. Where reasonably possible, we will give you prior notice and an opportunity to remedy the breach.

Upon termination, your licence to use SAFE ceases. Sections 6, 9, and 11 survive termination.

11. Governing Law and Dispute Resolution

These Terms and any dispute or claim arising out of or in connection with them or with SAFE shall be governed by and construed in accordance with the laws of the Czech Republic, without giving effect to any conflict of law rules.

Any such dispute or claim that cannot be resolved amicably shall be submitted to the exclusive jurisdiction of the courts of the Czech Republic, specifically the court having territorial jurisdiction over the registered office of ORRO GROUP at the time of the dispute.

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
